Terms of Service
These terms govern your use of the COHESION API, SDKs, dashboard, and related services provided by COHESION AUTH LLC, a Washington limited liability company. By integrating the API or installing an SDK, you accept these terms on behalf of your organization.
1. Acceptable use
- You will not use the service to target or profile identified individuals without a lawful basis under applicable privacy law.
- You will not deploy the service as an automated employment decision tool unless you independently comply with the applicable US and EU AI oversight law, including any required bias audits and candidate notice.
- You will not use the service in critical-infrastructure applications (power, water, aviation, pharmaceuticals manufacturing, or similar) without a signed SLA addendum that specifies uptime, incident-response, and safety-net terms.
- You will not attempt to reverse-engineer, circumvent rate limits, or share API keys across organizations.
2. Warranty disclaimer
The service is provided on an "as is" and "as available" basis unless a signed order form or SLA says otherwise. COHESION AUTH LLC makes no warranty of merchantability, fitness for a particular purpose, or non-infringement beyond what is documented in the public trust materials and any signed customer agreement:
Customers remain responsible for their own regulatory compliance and for validating that COHESION meets their specific obligations.
3. Limitation of liability
To the maximum extent permitted by law, COHESION AUTH LLC's aggregate liability arising out of or relating to these terms is capped at the fees paid by the customer in the twelve months preceding the event giving rise to the claim. COHESION AUTH LLC is not liable for indirect, incidental, special, consequential, or punitive damages. Nothing in this section limits liability that cannot be limited by law.
4. Governing law
These terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-laws principles. Venue lies in the state or federal courts sitting in King County, Washington, unless an alternative forum is agreed in a signed pilot agreement.
5. Intellectual property
The COHESION methodology, including the middleware-to-telemetry-to-scoring-to-invisible-intervention loop, is patent pending. Four USPTO provisional applications have been filed by Peyton William Flock. COHESION AUTH LLC retains its rights in the methodology, the API surface, the scoring engine, and related software.
Subject to these terms, COHESION AUTH LLC grants the customer a non-exclusive, non-transferable, revocable license to use the SDKs and MCP server for the customer's internal business purposes during the pilot term.
6. Termination and data export
Either party may terminate the pilot on 30 days written notice. Upon termination, data export is governed by Section 9 of the DPA. Customers may request export at any time during the pilot by emailing peyton@cohesionauth.com.
We may suspend the service for material breach, security incident, or legal obligation, with notice where practicable.
7. Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Customer data is treated as customer confidential information.
8. Privacy and data processing
Data handling is described in the Privacy Notice. Where COHESION processes customer telemetry as a processor, the parties execute a customer-specific Data Processing Agreement or equivalent order-form terms.
Additional operational documents referenced in the DPA include the subprocessor inventory, the security posture page, and any backup, recovery, or evidence-export commitments included in the signed order.
9. No model training
COHESION does not use customer telemetry, customer payloads, evidence receipts, API traffic, or support content to train foundation models or general-purpose AI systems. Customer data is used only to provide, secure, support, and evidence the COHESION service.
10. Changes to these terms
We may update these terms. Material changes will be announced before they take effect through the contact email associated with the API key. Continued use after the effective date constitutes acceptance.
