These Terms of Service govern your use of cohesionauth.com and the services provided by COHESION. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our website, submitting a contact form, or entering into a service agreement with COHESION, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use our website or services. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.
2. Description of Services
COHESION provides the Judgment Decay Framework and Judgment Independence Score (JIS) for measuring human oversight of AI systems. Our current offerings include:
- Scoring API: A hosted measurement service (Cloudflare Workers) that scores whether humans exercise genuine judgment or rubber-stamp AI outputs in AI-assisted decision workflows.
- Judgment Decay Assessment: An interactive public demonstration (/demo) that measures decision quality across adaptive scenarios.
- Enterprise deployments and pilots: Paid engagements to integrate COHESION's measurement infrastructure, defined individually under signed service agreements.
- Research publications: Peer-reviewable preprint work on judgment maintenance in AI environments, including SSRN 6571519.
Specific deliverables, timelines, SLAs, and scope are defined in each individual service or subscription agreement.
3. Service and Subscription Agreements
All paid engagements are governed by a signed service or subscription agreement between COHESION and the client. These Terms apply in addition to any such agreement. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.
4. Payment Terms
- Pricing: Pricing for pilots, subscriptions, and enterprise deployments is set out in the applicable agreement. Public demo access at /demo is free.
- Payment schedule: Invoices are due Net 30 unless otherwise specified in the agreement.
- Late payments: Invoices not paid within the agreed timeframe may be subject to a late fee of 1.5% per month on the outstanding balance.
- Accepted methods: Bank transfer, ACH, wire, or other methods specified in the agreement.
5. Intellectual Property
COHESION Retained Rights
COHESION owns the Judgment Decay Framework, the Judgment Independence Score methodology, the scoring algorithms, the 7-dimension measurement model, all API software, SDKs, the certification specification, and all related intellectual property, including the subject matter of Provisional Application Nos. 64/038,246 (filed April 13, 2026) and 64/051,131 (filed April 28, 2026). Nothing in any service or subscription agreement transfers ownership of COHESION's underlying intellectual property to the client.
Client Data
Data submitted to the Scoring API by a client (for example, decisions, modifications, and metadata produced by the client's users) remains the property of the client. COHESION processes this data solely to return scores and provide the contracted services, subject to the applicable Data Processing Addendum.
Aggregated Insights
COHESION may use anonymized, aggregated metrics across deployments to improve its methodologies and publish research, provided no client-identifying information is disclosed.
6. Service Level & Satisfaction
Service levels for production API deployments are set out in each subscription agreement. For pilot engagements, COHESION offers a scope-based satisfaction commitment: if deliverables defined in the signed agreement are not met, COHESION will revise the work at no additional cost until the scope is satisfied. Claims must be submitted in writing within 14 days of the relevant delivery.
7. Limitation of Liability
To the maximum extent permitted by law:
- COHESION's total liability arising out of or related to any engagement shall not exceed the total fees paid by the client for that engagement.
- In no event shall COHESION be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.
- COHESION is not liable for any actions taken or decisions made by the client based on the deliverables provided.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of an engagement. This includes but is not limited to:
- Trade secrets, business processes, and operational knowledge disclosed during interviews
- Financial information, employee details, and strategic plans
- The contents of all deliverables until the client authorizes disclosure
Confidentiality obligations survive the termination of any service agreement for a period of three years. COHESION may reference the client relationship (company name only) for marketing purposes unless the client opts out in writing.
9. Termination
- By the client: The client may terminate an engagement at any time with written notice. If termination occurs before deliverables are complete, the client is responsible for payment proportional to work completed.
- By COHESION: We may terminate an engagement if the client fails to provide reasonable access to subject-matter experts, does not respond to communications for more than 14 consecutive days, or fails to make payment when due.
- Effect of termination: Upon termination, COHESION will deliver any completed or in-progress work product to the client. Confidentiality and intellectual property provisions survive termination.
10. Website Use
You agree to use our website only for lawful purposes. You may not:
- Attempt to gain unauthorized access to any part of the website or its systems
- Use the website to transmit harmful code or interfere with its operation
- Scrape, harvest, or collect information from the website by automated means without our written consent
- Misrepresent your identity or affiliation when submitting forms or inquiries
11. Disclaimer of Warranties
The website and its content are provided "as is" without warranties of any kind, express or implied. COHESION does not warrant that the website will be uninterrupted, error-free, or free of harmful components. Service warranties are limited to those expressly stated in the applicable service agreement.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Washington State.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
